By accessing or using IPTO ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

IPTO provides a digital license management platform that allows users to:

  • Register and manage digital licenses for files and content
  • Verify ownership and authenticity of licensed content
  • Transfer licenses to other users
  • List and sell licenses on the marketplace
  • Track license usage across devices

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information is accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. License Registration and Ownership

When you register a license through IPTO, you represent and warrant that:

  • You are the rightful owner or have authorization to license the content
  • The content does not infringe on any third-party intellectual property rights
  • The content complies with all applicable laws and regulations
  • You have the right to transfer the license if you choose to do so

IPTO does not claim ownership of any content you register. We provide the platform for license management only.

5. Marketplace Terms

When using the IPTO marketplace:

  • Sellers are responsible for the accuracy of their listings
  • Buyers acknowledge that purchases are subject to the seller's terms
  • IPTO charges a platform fee on marketplace transactions
  • All transactions are final unless otherwise stated
  • Disputes between buyers and sellers should be resolved directly, though IPTO may assist

6. Prohibited Uses

You agree not to use the Service to:

  • Register licenses for content you do not own or have rights to
  • Engage in fraud, misrepresentation, or deceptive practices
  • Distribute malware, viruses, or harmful code
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Harass, abuse, or harm other users
  • Attempt to gain unauthorized access to the Service or other accounts

7. Fees and Payments

Certain features of the Service may require payment. By subscribing to a paid plan or making marketplace purchases:

  • You agree to pay all applicable fees
  • Fees are non-refundable unless otherwise stated
  • We may change pricing with reasonable notice
  • You are responsible for any taxes applicable to your transactions

8. Intellectual Property

The Service and its original content, features, and functionality are owned by IPTO and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you register through the Service. By using the Service, you grant IPTO a limited license to store and process your content as necessary to provide the Service.

9. Limitation of Liability

To the maximum extent permitted by law, IPTO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to your data
  • Any third-party conduct on the Service
  • Any content obtained from the Service

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
